Swiss company incorporation procedure

The steps to establish a foreign-owned business in Switzerland.

Enquiry.

Start by sending us your details and a description of the business you intend to operate. We come back to you to discuss it.

Document preparation.

We review the case and discuss any adjustments needed, then prepare and send you the incorporation documents.

Document signing.

You review and sign the documents, with signatures notarised. For cash incorporations of an AG or GmbH, a bank confirmation of the capital payment is attached to the signed documents.

Notarisation.

We arrange a notarisation appointment where the incorporation documents are publicly certified.

Commercial register entry.

We submit the notarised documents to the commercial register. Registration usually takes around 14 days. On completion we send you the certified commercial register extract and the incorporation documents.

After incorporation

Support services once the company is established in Switzerland.

Executive support.

We take on the administrative running of the company.

Business taxation and compliance.

VAT and annual tax returns submitted on time, so year end is not a scramble.

HR and payroll.

Employment agreements and payroll documents drafted and processed.

Financial management.

Accounting and preparation of annual financial reports.
